Acceptance of Terms

By accessing or using Convora's WhatsApp Business API platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Convora Inc. ("Convora," "we," "our," or "us").

Description of Services

Convora provides a WhatsApp Business API platform that enables businesses to:

Core Features:

  • Send and receive WhatsApp messages at scale
  • Create and manage automated chatbots
  • Build communication workflows and automation
  • Broadcast messages to customer segments
  • Manage team inbox and customer conversations
  • Additional Services:

  • Integration with third-party platforms (CRM, e-commerce, etc.)
  • Analytics and reporting dashboards
  • Template message management
  • Multi-agent support system
  • API access for custom integrations
  • We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

    Eligibility & Account Registration

    Eligibility Requirements:

  • You must be at least 18 years old
  • You must have the legal capacity to enter into contracts
  • Your business must comply with WhatsApp Business Policy and Meta Commerce Policy
  • You must not be located in a country subject to sanctions
  • Account Registration:

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access
  • One person or entity may maintain only one account
  • Business Verification:

  • WhatsApp Business API access requires business verification
  • You must provide valid business documentation
  • Meta/WhatsApp has final authority on verification approval
  • Acceptable Use Policy

    You agree to use our Services only for lawful purposes and in accordance with these Terms.

    You MAY use our Services to:

  • Send transactional messages (order confirmations, shipping updates)
  • Provide customer support and service
  • Send marketing messages with proper opt-in consent
  • Automate business communications within WhatsApp guidelines
  • You MAY NOT use our Services to:

  • Send spam or unsolicited messages
  • Harass, threaten, or abuse others
  • Distribute malware or harmful content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Collect data without proper consent
  • Impersonate others or misrepresent your identity
  • Circumvent WhatsApp's messaging limits or policies
  • Send messages related to prohibited content (adult content, weapons, drugs, etc.)
  • Violation of this policy may result in immediate account suspension or termination.

    Prohibited Activities

    The following activities are strictly prohibited:

    Messaging Violations:

  • Sending messages without proper opt-in consent
  • Purchasing or using unauthorized contact lists
  • Sending messages outside approved template guidelines
  • Exceeding messaging limits or rate limits
  • Technical Violations:

  • Attempting to reverse engineer our platform
  • Using automated tools to scrape or collect data
  • Interfering with the operation of our Services
  • Bypassing security measures or access controls
  • Content Violations:

  • Sharing illegal, harmful, or offensive content
  • Promoting violence, discrimination, or hate speech
  • Distributing copyrighted material without authorization
  • Spreading misinformation or fake news
  • Business Violations:

  • Misrepresenting your business or offerings
  • Engaging in fraudulent or deceptive practices
  • Using the Services for illegal business activities
  • Reselling access without authorization
  • Payment Terms

    Subscription Plans:

  • Our Services are offered on a subscription basis
  • Pricing details are available on our website
  • Prices are subject to change with 30 days notice
  • Billing:

  • Subscriptions are billed in advance (monthly or annually)
  • All fees are non-refundable unless otherwise stated
  • You authorize us to charge your payment method automatically
  • WhatsApp Conversation Charges:

  • Meta charges per-conversation fees for WhatsApp Business API
  • These charges are separate from Convora subscription fees
  • Conversation pricing varies by message type and region
  • You are responsible for all WhatsApp conversation charges
  • Payment Methods:

  • We accept major credit cards, debit cards, and bank transfers
  • Payment processors handle all transactions securely
  • Failed payments may result in service suspension
  • Taxes:

  • Prices exclude applicable taxes
  • You are responsible for all taxes associated with your use of the Services
  • Termination

    Termination by You:

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial billing periods
  • Export your data before account closure
  • Termination by Convora:

    We may suspend or terminate your account if you:

  • Violate these Terms or our policies
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Receive excessive complaints or poor sender reputation
  • Violate WhatsApp Business Policy
  • Effect of Termination:

  • Access to Services will be immediately revoked
  • All data may be deleted after a 30-day grace period
  • Outstanding fees remain payable
  • Certain provisions of these Terms survive termination
  • Intellectual Property

    Convora's IP:

  • All content, features, and functionality of our Services are owned by Convora
  • This includes software, text, graphics, logos, and trademarks
  • You may not copy, modify, or distribute our IP without permission
  • Your Content:

  • You retain ownership of content you create or upload
  • You grant us a license to use your content to provide the Services
  • You represent that you have the rights to all content you share
  • Third-Party IP:

  • Respect the intellectual property rights of others
  • Do not use copyrighted material without authorization
  • Report any IP violations to legal@convora.io
  • WhatsApp/Meta Trademarks:

  • WhatsApp and Meta trademarks are owned by Meta Platforms, Inc.
  • Use of these marks must comply with Meta's brand guidelines
  • Limitation of Liability

    Disclaimer of Warranties:

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

    Limitation of Liability:

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVORA SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Third-party claims arising from your use of the Services
  • Cap on Liability:

    OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

    Exceptions:

    These limitations do not apply where prohibited by law or in cases of gross negligence or willful misconduct.

    Indemnification

    You agree to indemnify, defend, and hold harmless Convora and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or messages sent through the Services
  • Your violation of WhatsApp Business Policy
  • Any fraudulent or illegal activity by you
  • We will notify you of any such claim and cooperate with your defense, but we reserve the right to assume exclusive defense and control of any matter subject to indemnification.

    Changes to Terms

    We may update these Terms from time to time. When we make changes:

    Notification:

  • We will post the updated Terms on our website
  • We will update the "Last Updated" date
  • For material changes, we will provide additional notice (email or dashboard notification)
  • Acceptance:

  • Your continued use of the Services after changes constitutes acceptance
  • If you do not agree to the updated Terms, you must stop using the Services
  • We recommend reviewing these Terms periodically
  • Prior Versions:

  • Previous versions of these Terms may be available upon request

  • Governing Law & Disputes

    Governing Law:

    These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

    Dispute Resolution:

  • We encourage you to contact us first to resolve any disputes informally
  • If informal resolution fails, disputes shall be resolved through binding arbitration
  • Arbitration will be conducted in Hyderabad, India
  • Each party bears its own arbitration costs
  • Class Action Waiver:

    You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

    Jurisdiction:

    For any disputes not subject to arbitration, the courts of Hyderabad, India shall have exclusive jurisdiction.
